Sourcing Platform Terms & Conditions

These terms and conditions (”Terms”) govern your use of the online Sourcing Platform experience (the “Sourcing Platform”) provided by Patch Technologies, Inc. (”we,” “us” or “Patch”), and form a binding agreement. By accessing or using the Sourcing Platform, you (”Customer”, “you” or “your”) agree to be bound by these Terms, including any updates or modifications that may be made by us from time to time. If you do not agree to these Terms, you must cease using the Sourcing Platform.

Beta Release

The Sourcing Platform is in a beta release (”Beta”) and we reserve the right to terminate or modify Customer’s use of the Sourcing platform during Beta at any time, without any liability to you.

The Sourcing Platform may be inoperable, or include errors or bugs. During Beta, Patch provides no warranty, indemnity, service level commitments or support for the Sourcing Platform and aggregate liability to you for your use of the Sourcing Platform during Beta is limited to USD$100.

Additional Terms

These Terms are in addition to, and do not substitute, the Patch Terms of Service (”Patch Terms”). By using the Sourcing Platform, you agree to comply with both these Terms and the Patch Terms. In the event of any conflict between these Terms and the Patch Terms, these terms will govern with respect to your use of the Sourcing Platform and the Patch Terms will govern with respect to your use of any other services or products or any other aspect of your use of Patch’s services.

Scope of Use

The Sourcing Platform allows you to browse the carbon credits available through Patch and filter the projects by key attributes that matter to you, and Patch can facilitate carbon credit transactions on your behalf using the Sourcing Platform. You may use the Sourcing Platform solely for the purpose of browsing, filtering, selecting and identifying carbon credit project inventory for legitimate carbon credit transactions.

Your use of the Sourcing Platform is subject to all applicable laws and regulations, and must be consistent with the purpose for which the Sourcing Platform is provided. You agree not to use the Sourcing Platform for any commercial purpose other than as set forth herein, and you may not resell, distribute or otherwise commercialize any inventory obtained via the Sourcing Platform unless specifically authorized by Patch in writing.

Patch reserves the right to restrict your access to the Sourcing Platform in our sole discretion if we identify that you are violating the scope of use or using the Sourcing Platform for any prohibited use set forth in the Patch Terms.

Privacy and Data Use

Your use of the Sourcing Platform is governed by the Privacy Policy. By using the Sourcing Platform, you consent to the collection, use and disclosure of your information as described in the Privacy Policy.
